TERMS OF SERVICE AND CONDITIONS OF INDEPENDENT CONTRACTOR AGREEMENT

For more than 20 years, Notaries 24-7 has connected independent notaries with signing assignments throughout the United States. We appreciate your interest in joining our nationwide network of independent notary professionals and look forward to working with you.

Before accepting assignments or using any website, platform, application, system, or other technology designated by Notaries 24-7 to offer, assign, or manage signing services (collectively, the “Platform”), please carefully review these Terms and Conditions of the Independent Contractor Agreement (“Agreement”). This Agreement governs your relationship with Notaries 24-7 and outlines the responsibilities, expectations, and policies applicable to all assignments accepted through the Platform.

Compensation Questions

One of the most common questions we receive concerns compensation. Payment schedules, compensation policies, incomplete assignment compensation, and payment procedures are explained in Section 3 – Compensation. All compensation inquiries should be directed to AP@notaries247.com. Notaries 24-7 strives to respond to compensation inquiries within one (1) business day. Requests involving more than five (5) assignments may require additional processing time.

By accepting assignments or using the Platform, you acknowledge that you have read, understand, and agree to be bound by this Agreement. This Agreement is legally binding. If you do not agree to these Terms and Conditions, you may not accept assignments, perform Services for Notaries 24-7, or use the Platform.

This Agreement constitutes the entire agreement between you and Notaries 24-7 with respect to the Services and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings relating to the Services or the Platform.

Notaries 24-7 may amend this Agreement from time to time. The most current version will be made available through the Platform or by other reasonable means. Your continued acceptance of assignments or use of the Platform after any revision constitutes your acceptance of the updated Agreement.

1. Notaries 24-7

Notaries 24-7 is a nationwide signing service company that coordinates and facilitates both in-person and Remote Online Notarization (“RON”) assignments for clients throughout the United States and internationally. Notaries 24-7 maintains a nationwide network of independent Notaries commissioned within the United States to provide prompt, professional, and reliable Services in accordance with applicable law.

Notaries 24-7 serves as a coordinator between its clients and independent Notaries by offering assignments through the Platform. Each Notary independently determines whether to accept an assignment and is solely responsible for performing the Services in compliance with applicable federal, state, and local laws, as well as the requirements of this Agreement.

2. Engagement

By entering into this Agreement, the Notary becomes eligible to receive offers for assignments through the Platform. Nothing in this Agreement guarantees that the Notary will be offered any minimum number of assignments, nor does it obligate the Notary to accept any assignment offered by Notaries 24-7.

For purposes of this Agreement, “Services” means all services accepted by the Notary through the Platform, including, but not limited to, mobile notarizations, loan signings, Remote Online Notarization (“RON”), witness services, document delivery, printing, scan-backs, courier services, and any other assignment-related services requested by Notaries 24-7 or its clients.

Each assignment offered through the Platform is independent and may include specific requirements, including, but not limited to, the location, scheduled date and time, compensation, printing requirements, scan-back requirements, shipping instructions, client-specific instructions, and any other applicable terms. The Notary is solely responsible for reviewing the assignment details before accepting an assignment.

An assignment becomes binding only after the Notary affirmatively accepts the assignment through the Platform or by another method authorized by Notaries 24-7. Upon acceptance, the Notary agrees to perform the Services in accordance with this Agreement, the assignment requirements, applicable law, and any lawful instructions provided by Notaries 24-7 or its clients.

Notaries 24-7 reserves the right to modify, reassign, or cancel any assignment prior to completion when reasonably necessary, including, but not limited to, client requests, scheduling changes, document revisions, or other operational requirements.

3. Compensation

3.1 Agreed Signing Fee

3.1 In consideration of your performance of the Services as provided herein, Notaries 24-7 agrees to pay you the amount specified and arranged at the time of accepting the order from Notaries 24-7 (the “Agreed Signing Fee”). The Agreed Signing Fee is all-inclusive and constitutes full compensation for the successful completion of the entire assignment, including all costs and expenses necessary to complete the assignment as described in Section 4 below. If an assignment is not completed, compensation will be adjusted to reflect only the services performed in accordance with this Section.3.2 Authorized Additional Trips

If a particular signing requires you to make more than one trip for any reason that is not the result of notary error, you may be compensated for the additional trip; however, any additional trip must be authorized by a representative of Notaries 24-7 prior to travel.

Any fee negotiations, modifications to compensation, or promises of payment made by anyone other than an authorized representative of Notaries 24-7 are not binding upon Notaries 24-7 and will not be honored.

3.2.1 Unauthorized Fee Increases and Assignment Changes

Only authorized representatives of Notaries 24-7 may approve fee increases, modifications to compensation, or changes to an assignment. Brokers, lenders, loan officers, escrow officers, title companies, borrowers, or any other third party are not authorized to negotiate or approve additional compensation or modify the terms of an assignment on behalf of Notaries 24-7.

If a broker, lender, loan officer, escrow officer, title company, borrower, or any other third party requests changes to an assignment or offers additional compensation, the notary must immediately notify Notaries 24-7 and obtain written approval from an authorized representative of Notaries 24-7 before accepting the request or performing any additional services.

If a notary accepts or performs additional services based upon a promise of payment from a broker, lender, loan officer, escrow officer, title company, borrower, or any other third party without prior written approval from Notaries 24-7, Notaries 24-7 shall have no obligation to pay the additional compensation. Any payment promised by the broker, lender, loan officer, escrow officer, title company, borrower, or other third party shall be the sole responsibility of that individual or entity, and the notary shall be solely responsible for obtaining payment directly from that individual or entity.

Any requested changes to the appointment date, time, or location must be communicated to Notaries 24-7 for approval before any changes are made.

3.3 Notary Errors

In the event of a notary error, you will be required to make any additional trips necessary to correct the issue at your own expense. Notaries 24-7 is not responsible for any fees, expenses, or shipping costs incurred as a result of correcting a notary error. Depending on the nature and severity of the error, compensation may also be reduced. If a fee reduction is applied, the notary will be notified through the Notaries 24-7 order website prior to payment.

3.4 Incomplete Assignments

3.4.1 Canceled or Rescheduled Before Printing

If a signing is canceled or rescheduled before documents have been printed, no compensation will be paid.

3.4.2 Canceled After Printing

If documents have been printed but the appointment is canceled before the notary travels to the signing location, compensation may include reimbursement for printing expenses.

3.4.3 Incomplete Signings

If a signing is canceled, duplicated, cannot be completed, or otherwise does not result in a completed notarization after work has been performed, the notary acknowledges that Notaries 24-7 is not required to pay the full agreed signing fee. Compensation, if any, will be determined in accordance with this Section.

3.4.4 Determination of Compensation

Compensation for incomplete assignments will be determined at the sole discretion of Notaries 24-7 based on the circumstances of the assignment and may include consideration of, but is not limited to, the following factors:

• The number of pages printed.

• Printing expenses, including paper and toner.

• Travel distance.

• Time spent at the signing appointment.

• The stage at which the assignment was canceled, terminated, or otherwise became unable to be completed.

• Any additional authorized work performed in connection with the assignment.

3.4.5 Non-Exhaustive Circumstances

The circumstances described in this Section are examples and are not intended to be an exhaustive list. Notaries 24-7 reserves the right to determine compensation for any assignment that does not result in a completed notarization, regardless of the reason the assignment could not be completed.

3.4.6 Case-by-Case Determination

Compensation for incomplete assignments is determined on a case-by-case basis. Payments made on previous or subsequent assignments do not establish a required payment amount or precedent for any other assignment.

3.5 Payment Schedule

Payment for completed signings is payable forty-five (45) days from the signing date, excluding Sundays and holidays, and will be issued via the payment method designated by Notaries 24-7.

3.6 Payment Inquiries

Notaries are responsible for ensuring their current mailing address and payment information remain accurate within their Notaries 24-7 notary profile. Notaries 24-7 is not responsible for delays resulting from outdated information provided by the notary.

The notary shall never contact the signer or any Notaries 24-7 client regarding payment. All payment inquiries must be directed solely to the Accounts Payable Department by email at AP@notaries247.com, by phone at 800-807-1260 ext. 004, or through the order on the Notaries 24-7 website. All compensation will be paid exclusively by Notaries 24-7. Notaries may not request or accept payment directly from the signer or client.

3.7 IRS Reporting

If you earn $600 or more during a calendar year, or any future minimum amount established by the Internal Revenue Service, Notaries 24-7 will issue you a Form 1099-NEC and report such income as required by law.

4. Expenses

Except as otherwise expressly agreed in writing by Notaries 24-7, the Notary is solely responsible for all costs and expenses incurred in performing the Services. The Agreed Signing Fee accepted for each assignment includes, and constitutes full compensation for, all ordinary costs of performing the Services, including, but not limited to, travel, mileage, fuel, vehicle expenses, parking, tolls, printing, paper, toner, office supplies, shipping materials, internet service, telephone service, computer equipment, Remote Online Notarization (“RON”) technology or platform fees, business insurance, licensing fees, taxes, and all other costs associated with operating the Notary’s independent business. No separate or additional reimbursement will be paid for costs of this nature, regardless of the actual expenses incurred by the Notary on a given assignment.

The Notary is solely responsible for the payment of all federal, state, and local taxes, business licenses, notary commission fees, certifications, permits, insurance, and any other governmental or regulatory fees required to perform the Services.

Any reimbursement for expenses not included in the Agreed Signing Fee must be expressly authorized in writing by Notaries 24-7 before the expense is incurred. As a condition of reimbursement, the Notary must submit receipt or other reasonable supporting documentation acceptable to Notaries 24-7. Absent prior written authorization and supporting documentation, the Notary shall not be entitled to reimbursement for any additional expenses incurred while performing the Services.

5. Term and Termination

This Agreement becomes effective upon the Notary’s acceptance of its terms and shall remain in effect until terminated by either party in accordance with this Section.

Either party may terminate this Agreement at any time by providing written notice to the other party. Notaries 24-7 may terminate this Agreement immediately, with or without cause, including, but not limited to, the Notary’s breach of this Agreement, violation of applicable law, fraud, misrepresentation, misconduct, failure to maintain any required commission, license, certification, insurance, or other qualification necessary to perform the Services, or any conduct that, in the reasonable judgment of Notaries 24-7, may adversely affect Notaries 24-7, its clients, or the public.

Termination of this Agreement does not relieve the Notary of any obligations arising from assignments accepted prior to termination unless otherwise directed by Notaries 24-7. Notaries 24-7 reserves the right to cancel or reassign any pending assignment at its discretion.

Upon termination of this Agreement, the Notary shall immediately return or securely destroy, as directed by Notaries 24-7, all client documents, electronic records, borrower information, confidential information, and any other materials or information obtained through the Platform or in connection with the Services, including all copies in the Notary’s possession, custody, or control. The Notary shall certify compliance with this requirement upon request by Notaries 24-7.

The rights and obligations of the parties that by their nature are intended to survive termination of this Agreement, including, but not limited to, provisions relating to compensation, confidentiality, privacy, intellectual property, indemnification, limitation of liability, dispute resolution, and any outstanding obligations arising from accepted assignments, shall survive the termination or expiration of this Agreement.

6. Responsibilities and Warranties

6.1 Qualifications and Eligibility

The Notary represents and warrants that, throughout the term of this Agreement and while performing the Services, the Notary shall:

(a) Be at least eighteen (18) years of age and legally authorized to enter into this Agreement.

(b) Hold and maintain a valid notary commission in each jurisdiction where the Notary accepts assignments and perform all notarial acts in accordance with applicable law.

(c) Maintain all bonds, errors and omissions (“E&O”) insurance, licenses, certifications, permits, and other qualifications required by applicable law or by Notaries 24-7 to perform the Services.

(d) Maintain a current background screening if required by Notaries 24-7, its clients, applicable law, or industry standards.

(e) Maintain complete and accurate information within the Notary’s Platform profile, including commission information, expiration dates, contact information, service areas, insurance, background screening status, and any other information requested by Notaries 24-7.

(f) Promptly notify Notaries 24-7 of any suspension, revocation, expiration, resignation, restriction, investigation, disciplinary action, criminal charge, loss of required qualifications, or any other event that may affect the Notary’s ability to lawfully or professionally perform the Services.

Failure to maintain the qualifications required under this Section may result in the suspension of assignment opportunities or immediate termination of this Agreement.

6.2 Professional Standards

The Notary shall perform the Services in a professional, courteous, ethical, and competent manner at all times, consistent with this Agreement, and shall conduct themselves in a manner that reflects positively on Notaries 24-7 and its clients.

The Notary shall:

(a) Arrive at each appointment on time or, if a delay is unavoidable, promptly notify Notaries 24-7 and any affected parties, when instructed by Notaries 24-7, of the anticipated delay.

(b) Treat all signers, clients, and other individuals encountered during the performance of the Services with courtesy, respect, and professionalism.

(c) Present a professional appearance consistent with industry norms for meeting with clients and the public.

(d) Communicate professionally, honestly, and respectfully with Notaries 24-7, clients, signers, and all other parties involved in an assignment.

(e) Ensure that the Services are performed by the Notary in accordance with Section 6.3(c), without unnecessary distractions or interruptions that may interfere with the successful completion of an assignment.

(f) Refrain from engaging in any conduct that is unprofessional, disruptive, abusive, threatening, discriminatory, or otherwise likely to damage the reputation or business relationships of Notaries 24-7 or its clients.

(g) Refrain from consuming alcohol, using illegal drugs, or performing the Services while impaired by alcohol, drugs, or any other substance that could affect the Notary’s ability to safely and competently perform the Services.

(h) If an assignment requires the Notary to provide one or more witnesses, the Notary shall ensure that each witness conducts themselves in a professional, courteous, and respectful manner; is appropriately dressed for a professional appointment; complies with all applicable legal requirements to serve as a witness; and does not engage in conduct that could disrupt the appointment or adversely affect the reputation of Notaries 24-7 or its clients. The Notary remains responsible for the conduct of any witness the Notary provides.

(i) Except as expressly authorized by Notaries 24-7 or required by law, the Notary shall not bring children, pets, family members, friends, assistants, or any other unauthorized individuals to an assignment or permit them to accompany the Notary into a signer’s home or other meeting location. This restriction does not apply to trained service animals, as recognized under applicable law. The Notary remains responsible for ensuring that any individual authorized by Notaries 24-7 to accompany the Notary, including any witness provided by the Notary, conducts themselves in a professional manner and does not interfere with the successful completion of the assignment.

(j) The Notary shall promptly notify Notaries 24-7 of any circumstance that may prevent the timely or proper completion of an assignment, including emergencies, scheduling conflicts, equipment failures, accidents, illness, or other unforeseen events.

Failure to comply with the professional standards set forth in this Section may result in the cancellation or reassignment of assignments, suspension of assignment opportunities, or termination of this Agreement.

6.3 Performance of Services

The Notary shall perform all Services competently, diligently, and in accordance with this Agreement, applicable law, the requirements of each assignment, and any lawful instructions provided by Notaries 24-7 or its clients.

The Notary shall:

(a) Review each assignment upon acceptance and ensure the Notary understands all applicable requirements before performing the Services.

(b) Perform only those Services the Notary is legally authorized, qualified, and competent to perform.

(c) Personally perform each accepted assignment or, at the Notary’s discretion, arrange for the assignment to be completed by another individual who: (i) holds a valid, active notary commission in the jurisdiction where the Services will be performed; (ii) maintains errors and omissions insurance and any other qualifications required under Section 6.1 of this Agreement; and (iii) has not been suspended, terminated, or otherwise disqualified from performing assignments for Notaries 24-7. The Notary remains fully responsible for the substitute’s compliance with this Agreement, applicable law, and all assignment requirements, and for any errors, omissions, or misconduct committed by the substitute in the same manner as if performed by the Notary. The Notary shall notify Notaries 24-7 of the identity of any substitute performing an assignment on the Notary’s behalf, using the notification method designated by Notaries 24-7, prior to the substitute performing the Services.

California Notaries

Hold and maintain the $15,000 surety bond required under California Government Code §8212 (or the equivalent bonding requirement of any other jurisdiction in which the Notary is commissioned), filed as required with the applicable county clerk or other governmental authority. In addition, as a condition of accepting assignments through the Platform, the Notary shall maintain Errors and Omissions (“E&O”) insurance in an amount and form acceptable to Notaries 24-7. E&O insurance is not required under California law but is required by Notaries 24-7 as a condition of participating in the Platform. The Notary shall also maintain any other licenses, certifications, permits, or qualifications required by applicable law or by Notaries 24-7 to perform the Services.

(d) Complete each assignment in accordance with the specific requirements provided at the time of acceptance, including printing instructions, witness coordination, identity verification procedures, document handling requirements, scan-back requirements, Remote Online Notarization (“RON”) requirements, teleconference or video conference participation, shipping instructions, and other client-specific or assignment-specific requirements necessary to complete the assignment.

(e) Promptly notify Notaries 24-7 of any issue that may delay, prevent, or otherwise affect the successful completion of an assignment, including signer concerns, document discrepancies, missing documents, refusal to sign, scheduling conflicts, equipment failures, technology issues, or any other material issue.

(f) Perform all Services, including notarial acts, attorney-facilitated closings, teleconference closings, Remote Online Notarizations, and any other assignment responsibilities, in strict compliance with applicable law and shall not perform any service unless all legal requirements have been satisfied.

(g) Refrain from providing legal advice, interpreting legal documents, or advising any signer regarding the legal effect of any document. Any legal or document-related questions shall be referred to the appropriate attorney, lender, title company, escrow officer, or other authorized representative.

(h) When performing Remote Online Notarization (“RON”) Services, maintain access to a RON platform approved by Notaries 24-7, remain responsible for all costs associated with the RON platform unless otherwise agreed in writing, ensure the platform is properly configured and operational, and provide reasonable assistance to signers in connecting to and navigating the RON session, provided such assistance does not constitute legal advice or otherwise violate applicable law.

(i) When an assignment includes participation in a teleconference, video conference, remote closing, attorney conference, or similar communication, participate in a professional manner, be reasonably prepared for the conference, utilize reliable technology, and comply with the applicable legal requirements and assignment-specific requirements governing that communication.

(j) Complete all required scan-backs, document transmissions, and shipment or delivery of original documents within the timeframes specified by Notaries 24-7 or the applicable assignment instructions.

(k) Collect only those fees expressly authorized by applicable law or by Notaries 24-7 and shall not request, negotiate, or accept additional compensation directly from any signer, client, lender, title company, escrow company, attorney, or other party without the prior written authorization of Notaries 24-7.

(l) Direct all questions regarding assignment compensation, invoicing, or payment exclusively to Notaries 24-7 and shall not discuss or dispute compensation with any signer or client.

(m) The Notary shall not independently negotiate or accept fee adjustments or additional compensation directly with a client or any other party, except as set forth in Section 3.2.1. Nothing in this Agreement restricts the Notary’s ability to communicate directly with a client regarding scheduling logistics necessary to complete an assignment (e.g., confirming arrival time, coordinating signer availability), provided any change to the assignment’s date, time, or location is reported to Notaries 24-7 in accordance with Section 2.

(n) The Notary shall not alter, modify, complete, correct, or replace any document, certificate, or notarial certificate except as expressly authorized by applicable law or by the party responsible for preparing the document. If the Notary discovers an error or discrepancy, the Notary shall promptly notify Notaries 24-7 for further instructions before making any changes.

Failure to comply with the requirements of this Section may result in the cancellation or reassignment of assignments, suspension of assignment opportunities, or termination of this Agreement.

6.4 Confidentiality and Information Security

The Notary acknowledges that, in performing the Services, the Notary may receive or have access to confidential, proprietary, personal, financial, medical, legal, or other non-public information belonging to Notaries 24-7, its clients, signers, or other third parties. The Notary shall use such information solely for the purpose of performing the Services and shall protect it from unauthorized access, use, disclosure, alteration, or destruction.

The Notary shall:

(a) Maintain the confidentiality of all non-public information obtained in connection with the Services and use such information only as necessary to perform the assigned Services.

(b) Safeguard all physical documents and electronic information from loss, theft, unauthorized access, disclosure, alteration, or misuse.

(c) Store all documents and electronic information in a secure manner and implement reasonable administrative, physical, and technical safeguards appropriate to the sensitivity of the information.

(d) Dispose of or permanently destroy documents and electronic information containing non-public information in a secure manner when retention is no longer required or when directed by Notaries 24-7, applicable law, or the applicable assignment instructions.

(e) Immediately notify Notaries 24-7 of any actual or suspected loss, theft, unauthorized disclosure, security incident, or data breach involving information obtained through the Services.

(f) Comply with all applicable federal, state, and local privacy, data protection, and information security laws and regulations governing the handling of confidential or non-public information.

(g) Refrain from sharing, copying, photographing, recording, transmitting, or retaining confidential information except as necessary to perform the Services, comply with applicable law, or as otherwise authorized by Notaries 24-7.

(h) The Notary shall not upload, submit, disclose, or otherwise provide confidential information, borrower information, assignment documents, or other non-public information to any artificial intelligence, machine learning, generative AI, large language model, or other automated data processing platform unless expressly authorized in writing by Notaries 24-7 or required by applicable law.

6.5 Account and Platform Security

The Notary is responsible for maintaining the security and confidentiality of the Notary’s Platform account, login credentials, passwords, authentication methods, and any other means of accessing the Platform.

The Notary shall:

(a) Maintain accurate and current account information and promptly update any changes to contact information or other account details.

(b) Safeguard all usernames, passwords, authentication credentials, multi-factor authentication (“MFA”) methods, security tokens, and other account access information and shall not share, disclose, or permit any other person to access or use the Notary’s Platform account.

(c) Be responsible for all activity conducted through the Notary’s Platform account until Notaries 24-7 has been notified of any actual or suspected unauthorized access.

(d) Immediately notify Notaries 24-7 of any actual or suspected unauthorized access to the Platform, loss or compromise of login credentials, or any other security incident involving the Notary’s account.

(e) Access and use the Platform only for lawful business purposes related to the Services and in accordance with this Agreement.

(f) Refrain from uploading, transmitting, or introducing any virus, malware, ransomware, malicious code, or other harmful technology that could damage, disrupt, interfere with, or gain unauthorized access to the Platform or any systems used by Notaries 24-7 or its clients.

(g) Refrain from attempting to bypass, disable, interfere with, or circumvent any security features or access controls implemented by Notaries 24-7 or its technology providers.

(h) Access the Platform only through devices and networks the Notary reasonably believes to be secure and take reasonable measures to protect the security of those devices, including maintaining current operating system and security updates where available.

Failure to comply with this Section may result in the suspension or termination of Platform access, cancellation of assignment opportunities, termination of this Agreement, and any other remedies available under this Agreement or applicable law.

6.6 Compliance with Laws and Professional Requirements

The Notary shall perform the Services in compliance with all applicable federal, state, and local laws, regulations, rules, professional standards, and governmental requirements applicable to the Services, the Notary’s commission or professional license, and each assignment.

The Notary shall:

(a) Maintain all licenses, commissions, appointments, registrations, certifications, bonds, insurance, permits, and other qualifications required to lawfully perform the Services.

(b) Perform all notarial acts, attorney closings, Remote Online Notarizations (“RON”), teleconference closings, and other Services only as authorized under applicable law and within the scope of the Notary’s qualifications and authority.

(c) Comply with all client-specific requirements, lender requirements, title and escrow requirements, recording requirements, and lawful assignment instructions, provided such requirements do not conflict with applicable law.

(d) Exercise independent professional judgment in performing the Services and refuse any instruction or request that would require the Notary to violate applicable law or exceed the Notary’s legal authority.

(e) Immediately notify Notaries 24-7 if the Notary becomes aware of any circumstance that may prevent the lawful or proper completion of an assignment, including any legal restriction, suspension, investigation, or other matter affecting the Notary’s authority to perform the Services.

(f) Cooperate with reasonable requests from Notaries 24-7 for information or documentation necessary to verify the Notary’s ongoing compliance with this Agreement or applicable law.

(g) Be solely responsible for understanding and complying with the laws, regulations, and professional standards applicable to the jurisdiction in which the Services are performed.

(h) Remain informed of material changes in the laws, regulations, and professional requirements applicable to the Services in each jurisdiction where the Notary accepts assignments.

A violation of this Section may result in the cancellation of assignments, suspension of Platform access, termination of this Agreement, and any other remedies available under this Agreement or applicable law.

6.7 Ethical Conduct and Prohibited Activities

The Notary shall conduct all Services with honesty, integrity, professionalism, and impartiality. The Notary shall avoid any conduct that could compromise the integrity of the Services, damage the reputation of Notaries 24-7 or its clients, or violate applicable law or professional standards.

The Notary shall not:

(a) Falsify, alter, forge, backdate, or otherwise misrepresent any document, notarial certificate, record, signature, identification, timestamp, communication, or assignment information.

(b) Perform or attempt to perform any notarial act or other Service without complying with all applicable legal requirements, including any required personal appearance, identity verification, or credential analysis required by applicable law.

(c) Accept compensation, gifts, gratuities, commissions, kickbacks, referral fees, or other benefits from any signer, client, lender, title company, escrow company, or third party that could reasonably create a conflict of interest or improperly influence the performance of the Services, except for customary refreshments or items of nominal value.

(d) Misrepresent the Notary’s qualifications, authority, experience, certifications, insurance coverage, or relationship with Notaries 24-7 or any client.

(e) Use the name, trademarks, logos, branding, client relationships, or confidential business information of Notaries 24-7 for any purpose not expressly authorized in writing.

(f) Use Confidential Information obtained through the Platform, including client contact information, pricing, or assignment details not otherwise known to the Notary, to solicit or market services to that client, except as otherwise permitted by applicable law. Nothing in this Agreement restricts the Notary’s right to provide services to, or contract directly with, any client, signer, lender, title company, escrow company, attorney, or other party, provided the Notary does not use Notaries 24-7’s Confidential Information in violation of this Agreement.

(g) Discriminate against or refuse Services to any individual in violation of applicable federal, state, or local anti-discrimination laws.

(h) Engage in any fraudulent, deceptive, unethical, illegal, or dishonest conduct in connection with the Services.

(i) Make any public statement, social media post, recording, photograph, or other publication regarding an assignment, signer, client, or confidential business matter that discloses confidential or non-public information or could reasonably harm the reputation or business interests of Notaries 24-7 or its clients.

(j) Use alcohol, illegal drugs, controlled substances without a valid prescription, or any substance that impairs the Notary’s ability to safely and competently perform the Services while accepting or performing an assignment.

(k) Permit any other person to perform, assist with, observe, or participate in the Services except as authorized by applicable law or with the prior written authorization of Notaries 24-7.

(l) The Notary shall not audio record, video record, livestream, photograph, or otherwise capture any portion of an assignment except (i) as required by applicable law for Remote Online Notarizations (“RON”) or other legally authorized electronic notarization procedures, or (ii) when expressly authorized in writing by Notaries 24-7.

(m) Collect only the Agreed Signing Fee and any other compensation expressly authorized under this Agreement. The Notary shall not request, solicit, negotiate, or accept any additional funds, fees, gratuities, or other compensation beyond the Agreed Signing Fee — for any reason, including additional trips, delays, printing, or other assignment-related work — from any signer, client, lender, title company, escrow company, attorney, or other third party. Any request for additional compensation must be submitted to, and approved in writing by, an authorized representative of Notaries 24-7 before it is made to, or accepted from, any such party. Compensation, fee changes, or promises of payment from any person other than an authorized representative of Notaries 24-7 are not binding on Notaries 24-7 and will not be honored, regardless of whether the Notary relied on such a promise.

(n) The Notary shall promptly notify Notaries 24-7 of any suspected fraud, identity theft, forgery, coercion, duress, elder abuse, or other suspicious circumstance encountered during an assignment that could affect the validity, legality, or integrity of the transaction, to the extent permitted by applicable law.

A violation of this Section may result in the immediate cancellation of assignments, suspension of Platform access, termination of this Agreement, and any other remedies available under this Agreement or applicable law.

6.8 Safety, Security, and Incident Reporting

The safety and security of the Notary, signers, and all individuals involved in the Services are of paramount importance. Nothing in this Agreement requires the Notary to place themselves or others in an unsafe situation or to proceed with an assignment when the Notary reasonably believes doing so would present a risk to personal safety or violate applicable law.

The Notary shall:

(a) Exercise reasonable judgment in evaluating the safety of each assignment location and may decline to begin or continue an assignment if the Notary reasonably believes the environment presents a threat to the safety or security of any person.

(b) Immediately notify Notaries 24-7 as soon as reasonably practicable if an assignment cannot be completed or must be interrupted due to safety concerns, security risks, emergencies, criminal activity, hazardous conditions, or other circumstances beyond the Notary’s reasonable control.

(c) Contact local emergency services when appropriate if an immediate threat to life, health, or property exists.

(d) Promptly report to Notaries 24-7 any accident, injury, property damage, security incident, threatening behavior, suspected criminal activity, or other significant event occurring during or in connection with an assignment.

(e) Cooperate with reasonable requests from Notaries 24-7 relating to the investigation or documentation of any reported incident.

(f) Comply with all reasonable health, safety, and security requirements communicated by Notaries 24-7 or the applicable client, provided such requirements do not conflict with applicable law or compromise the Notary’s independent contractor status.

(g) The Notary may request that animals be secured before conducting an assignment and may suspend or terminate the assignment if the Notary reasonably believes an unsecured animal presents a safety risk.

(h) If the Notary reasonably believes the presence, display, handling, or threatened use of a weapon creates an immediate safety risk, the Notary may suspend or terminate the assignment and shall promptly notify Notaries 24-7.

(i) The Notary may discontinue an assignment if subjected to harassment, threats, intimidation, discrimination, or abusive conduct that reasonably interferes with the safe or professional performance of the Services and shall notify Notaries 24-7 as soon as reasonably practicable.

(j) The Notary shall comply with all lawful security, identification, visitor access, and safety procedures established by the assignment location, provided such procedures do not conflict with applicable law or prevent the lawful performance of the Services.

Nothing in this Section shall be construed to require the Notary to enter, remain at, or return to any location the Notary reasonably believes to be unsafe.

6.9 Cooperation and Communication

The Notary shall maintain timely, professional, and effective communication with Notaries 24-7 throughout the performance of the Services. Prompt communication is essential to ensure successful scheduling, assignment completion, client satisfaction, and compliance with applicable requirements.

The Notary shall:

(a) Remain reasonably available before, during, and after each accepted assignment to receive and respond to communications from Notaries 24-7 regarding assignment-related matters.

(b) Promptly acknowledge and respond to communications from Notaries 24-7 when action or information is reasonably required to perform or complete an assignment.

(c) Immediately notify Notaries 24-7 of any circumstance that may delay, prevent, or otherwise affect the successful completion of an assignment, including scheduling conflicts, signer issues, document discrepancies, technology failures, emergencies, or other material events.

(d) Provide timely and accurate status updates as reasonably requested by Notaries 24-7, including confirmation of appointment completion, scan-back status, shipping confirmation, or other assignment milestones.

(e) Maintain current and accurate contact information and promptly update any changes to telephone numbers, email addresses, mailing addresses, or other contact information maintained within the Platform.

(f) Communicate professionally, courteously, and respectfully with Notaries 24-7, its clients, signers, and all other parties involved in an assignment.

(g) Cooperate with reasonable quality assurance reviews, client inquiries, compliance reviews, and post-closing requests relating to assignments performed under this Agreement.

(h) Promptly review and comply with any revised assignment instructions, corrected documents, updated scheduling information, or other lawful directions provided by Notaries 24-7 or its clients.

Failure to maintain reasonable communication or to respond to assignment-related communications in a timely manner may result in the reassignment or cancellation of an assignment, suspension of future assignment opportunities, or termination of this Agreement, as appropriate under the circumstances.

6.10 Records, Documentation, and Cooperation

The Notary shall maintain complete and accurate records relating to the Services to the extent required by applicable law and shall cooperate with reasonable requests from Notaries 24-7 concerning assignments performed under this Agreement.

The Notary shall:

(a) Maintain any journals, logs, records, audio-video recordings, or other documentation required by applicable law for the jurisdiction in which the Services are performed.

(b) Retain required records for the period prescribed by applicable law and make such records available only as permitted or required by law.

(c) Promptly provide Notaries 24-7 with copies of documents, information, or other materials reasonably requested in connection with an accepted assignment, client inquiry, payment inquiry, quality review, compliance review, or audit, to the extent the Notary is legally permitted to do so.

(d) Cooperate with reasonable requests relating to assignment discrepancies, complaints, quality reviews, compliance reviews, audits, or other matters arising from the Services performed under this Agreement.

(e) Preserve documents, records, communications, and other information relating to an assignment when reasonably requested by Notaries 24-7 in connection with an assignment review, client inquiry, payment inquiry, quality review, compliance review, audit, or assignment discrepancy, to the extent permitted by applicable law.

(f) Preserve assignment-related electronic communications, including Platform communications, emails, text messages, and other correspondence, when reasonably requested by Notaries 24-7 in connection with an assignment review, client inquiry, payment inquiry, quality review, compliance review, audit, or assignment discrepancy, to the extent permitted by applicable law.

Nothing in this Section shall require the Notary to disclose information prohibited from disclosure by applicable law or court order.

7. Independent Contractor Relationship

The Parties acknowledge and agree that the Notary is engaged by Notaries 24-7 solely as an independent contractor. Nothing contained in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, agency, franchise, or any other fiduciary or representative relationship between the Parties.

The Notary acknowledges and agrees that:

(a) The Notary is solely responsible for determining whether to accept or decline any assignment offered by Notaries 24-7. Nothing in this Agreement guarantees the Notary any minimum number of assignments or obligates the Notary to accept any assignment offered.

(b) Except as otherwise required by applicable law or the lawful requirements of a particular assignment, the Notary retains the sole right to determine the manner, means, methods, and sequence by which the Services are performed.

(c) The Notary is engaged in an independently established business and may provide services to other individuals, businesses, signing services, title companies, lenders, attorneys, or other clients, provided such services do not violate this Agreement or improperly interfere with the Notary’s obligations to Notaries 24-7.

(d) The Notary is solely responsible for all federal, state, and local taxes, self-employment taxes, business expenses, insurance, licensing fees, permit fees, and any other financial obligations arising from the Notary’s independent business.

(e) The Notary is not eligible for and shall not participate in any employee benefit plan, retirement plan, workers’ compensation coverage (except as otherwise required by applicable law), unemployment insurance benefits, paid leave, or any other employee benefit offered by Notaries 24-7.

(f) The Notary shall furnish and maintain, at the Notary’s own expense, all equipment, supplies, technology, transportation, internet access, telephone service, office space, software, and other resources necessary to perform the Services unless otherwise expressly agreed in writing by Notaries 24-7.

(g) Nothing in this Agreement shall be construed as creating an exclusive relationship between the Parties. Notaries 24-7 may engage other independent contractors or service providers to perform similar services, and the Notary remains free to perform services for others, subject to the obligations of this Agreement.

(h) The Notary has no authority to bind, obligate, contract for, or otherwise act on behalf of Notaries 24-7 except as expressly authorized in writing.

(i) The Notary acknowledges that assignment opportunities may vary based upon client requirements, geographic location, qualifications, performance history, availability, operational needs, and other legitimate business considerations. Notaries 24-7 reserves the right to establish reasonable assignment eligibility requirements, waiting periods, geographic limitations, compliance requirements, or other assignment distribution practices as necessary to comply with applicable law or legitimate business operations.

(j) The Notary acknowledges that no representation, promise, or expectation has been made regarding future assignment opportunities and agrees that the decision to offer or not offer any assignment shall remain within the sole discretion of Notaries 24-7.

Nothing contained in this Agreement shall be interpreted as limiting either Party’s rights or obligations under applicable law governing independent contractor relationships.

8. Confidential Information

The Notary acknowledges that, in the course of performing the Services, the Notary may receive or have access to Confidential Information belonging to Notaries 24-7, its clients, signers, vendors, or other third parties. The Notary agrees to maintain the confidentiality of such information and to use it solely as necessary to perform the Services in accordance with this Agreement.

For purposes of this Agreement, “Confidential Information” includes, but is not limited to:

(a) Client identities, customer lists, referral sources, contracts, pricing, business relationships, and contact information.

(b) Notary databases, vendor information, recruiting information, assignment history, performance metrics, quality assurance information, compensation structures, pricing methodologies, business strategies, marketing plans, financial information, operational procedures, training materials, internal policies, and other proprietary business information of Notaries 24-7.

(c) Assignment details, signer information, loan documents, legal documents, title documents, financial information, medical information, personally identifiable information, and any other non-public information obtained in connection with the Services.

(d) Proprietary systems, software, platforms, workflows, business processes, security procedures, technical information, login credentials, and other confidential business information of Notaries 24-7.

(e) Any other information that a reasonable person would understand to be confidential based upon the nature of the information or the circumstances surrounding its disclosure.

The Notary agrees that the Notary shall:

(f) Maintain the confidentiality of all Confidential Information and use such information solely as necessary to perform the Services or as otherwise authorized by Notaries 24-7 or required by applicable law.

(g) Not disclose, publish, distribute, transmit, sell, license, or otherwise make available any Confidential Information to any unauthorized person or entity.

(h) Exercise reasonable care to protect Confidential Information from unauthorized access, disclosure, misuse, loss, theft, alteration, or destruction.

(i) Immediately notify Notaries 24-7 of any actual or suspected unauthorized access, disclosure, misuse, loss, theft, or security incident involving Confidential Information.

(j) Upon request by Notaries 24-7 or upon termination of this Agreement, promptly return or securely destroy all Confidential Information in the Notary’s possession, custody, or control, except to the extent retention is required by applicable law.

The obligations contained in this Section shall not apply to information that:

(k) Becomes publicly available through no wrongful act or omission of the Notary.

(l) Is lawfully obtained from a third party without a duty of confidentiality.

(m) Is independently developed by the Notary without the use of or reference to Confidential Information.

(n) The Notary shall not copy, download, compile, harvest, export, or otherwise create or maintain independent databases or collections of client information, signer information, notary databases, vendor lists, business contacts, or other Confidential Information except as reasonably necessary to perform an accepted assignment.

(o) The Notary acknowledges that any unauthorized use or disclosure of Confidential Information may cause irreparable harm to Notaries 24-7 for which monetary damages alone may be inadequate. Accordingly, Notaries 24-7 shall be entitled to seek injunctive relief, equitable relief, and any other remedies available at law or in equity, in addition to any other rights or remedies provided by this Agreement or applicable law.

Nothing in this Agreement prohibits the Notary from disclosing Confidential Information when required by applicable law, court order, or governmental authority, provided the Notary gives prompt notice to Notaries 24-7, if legally permitted, to allow the Company an opportunity to seek appropriate protective relief.

The obligations contained in this Section shall survive the termination or expiration of this Agreement.

9. Intellectual Property

All intellectual property rights, including copyrights, trademarks, service marks, trade names, logos, software, websites, proprietary platforms, business methods, workflows, documentation, forms, templates, policies, procedures, training materials, marketing materials, databases, and other proprietary content owned, developed, licensed, or used by Notaries 24-7 (collectively, the “Intellectual Property”) shall remain the exclusive property of Notaries 24-7 or its licensors.

Nothing in this Agreement grants the Notary any ownership interest in the Intellectual Property. The Notary is granted only a limited, non-exclusive, non-transferable, revocable right to access and use such Intellectual Property solely as necessary to perform the Services under this Agreement.

The Notary shall not:

(a) Copy, reproduce, modify, distribute, publish, sell, license, reverse engineer, decompile, disassemble, or create derivative works from the Intellectual Property except as expressly authorized in writing by Notaries 24-7.

(b) Remove, alter, conceal, or obscure any copyright, trademark, proprietary, or other ownership notices appearing on the Intellectual Property.

(c) Use the Intellectual Property for the benefit of any person or business other than as necessary to perform the Services under this Agreement.

(d) Register, attempt to register, or claim ownership of any Intellectual Property or any confusingly similar name, trademark, domain name, logo, or branding associated with Notaries 24-7.

(e) Use the name, trademarks, logos, branding, or other Intellectual Property of Notaries 24-7 in advertising, marketing, social media, or other public communications except as expressly authorized in writing by Notaries 24-7.

(f) Any suggestions, feedback, recommendations, enhancement requests, ideas, or other input voluntarily submitted by the Notary regarding the Platform, Services, or business operations may be used by Notaries 24-7 without restriction or obligation to compensate the Notary. Nothing in this provision transfers ownership of the Notary’s independently developed intellectual property.

(g) The Notary shall not publish, distribute, publicly display, or otherwise disclose screenshots, recordings, demonstrations, or other visual representations of any non-public portions of the Platform, proprietary systems, or internal business processes without the prior written authorization of Notaries 24-7.

(h) The Notary shall not use automated means, scraping tools, bots, artificial intelligence systems, browser automation, data extraction tools, or other technologies to access, collect, monitor, harvest, or reproduce information from any non-public portion of the Platform or proprietary systems except as expressly authorized in writing by Notaries 24-7.

(i) All rights not expressly granted to the Notary under this Agreement are reserved by Notaries 24-7.

Nothing in this Agreement shall be construed to transfer ownership of any intellectual property owned by the Notary prior to entering into this Agreement or independently developed by the Notary without the use of the Confidential Information or Intellectual Property of Notaries 24-7.

Upon termination of this Agreement, the Notary shall immediately cease representing any affiliation with Notaries 24-7 except as necessary to accurately describe prior experience or as otherwise authorized in writing.

The provisions of this Section shall survive the termination or expiration of this Agreement.

10. Indemnification

The Notary agrees to defend, indemnify, and hold harmless Notaries 24-7, its owners, officers, directors, employees, agents, affiliates, successors, assigns, clients, and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, causes of action, damages, liabilities, losses, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees and litigation expenses, arising out of or relating to:

(a) The Notary’s breach of this Agreement.

(b) The Notary’s negligence, gross negligence, willful misconduct, fraud, dishonesty, or violation of applicable law.

(c) Any error, omission, improper notarization, failure to comply with applicable notarial laws, or other act or omission committed by the Notary in connection with the Services.

(d) Any actual or alleged violation of confidentiality, privacy, or data security obligations by the Notary.

(e) Any claim arising from the Notary’s infringement or alleged infringement of the intellectual property rights of any third party.

(f) Any claim relating to the Notary’s taxes, business expenses, licensing, insurance, employment status, or other obligations arising from the Notary’s independent contractor business.

(g) Any bodily injury, property damage, personal injury, or other loss caused by the negligent or wrongful acts or omissions of the Notary while performing the Services.

(h) The Notary’s failure to maintain any commission, appointment, license, certification, bond, insurance, registration, or other qualification required by applicable law or this Agreement.

(i) Any unauthorized fees, charges, reimbursements, gratuities, or other compensation requested, negotiated, accepted, or collected by the Notary without the prior written authorization of Notaries 24-7.

(j) The Notary’s failure to properly verify signer identity, complete required identity proofing or credential analysis when applicable, administer required oaths or affirmations, complete notarial certificates, or otherwise comply with applicable legal requirements governing the performance of the Services.

(k) Notwithstanding the foregoing, the Notary shall not be required to indemnify Notaries 24-7 for claims arising solely from the independent negligence, gross negligence, willful misconduct, or unlawful acts of Notaries 24-7, its clients, or other third parties, provided the Notary fully complied with this Agreement and applicable law.

(l) The Notary shall reasonably cooperate with Notaries 24-7 in the investigation, review, defense, or resolution of any claim, complaint, assignment discrepancy, quality assurance matter, client concern, or dispute arising out of or relating to the Services, including providing information, documentation, and communications within the Notary’s possession, custody, or control.

The obligations contained in this Section shall survive the termination or expiration of this Agreement.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Notaries 24-7, its owners, officers, directors, employees, agents, affiliates, successors, assigns, clients, and representatives shall not be liable to the Notary for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, but not limited to, lost profits, lost business opportunities, loss of goodwill, loss of anticipated income, loss of data, business interruption, or other economic losses arising out of or relating to this Agreement, the Platform, any assignment, or the Services, regardless of the legal theory asserted, even if advised of the possibility of such damages.

Except for amounts that Notaries 24-7 is expressly obligated to pay under this Agreement, the aggregate liability of Notaries 24-7 arising out of or relating to any individual assignment shall not exceed the compensation agreed upon for that specific assignment.

Nothing in this Agreement shall limit or exclude liability to the extent such limitation or exclusion is prohibited by applicable law.

The Notary acknowledges and agrees that:

(a) Assignment opportunities are offered on an “as available” basis, and Notaries 24-7 makes no representation or guarantee regarding the number, frequency, location, or availability of future assignments.

(b) Notaries 24-7 does not guarantee that any assignment will proceed as scheduled or be completed, and assignments may be modified, delayed, rescheduled, canceled, or reassigned due to client requests, signer availability, document revisions, technology failures, legal requirements, weather, emergencies, or other circumstances beyond the reasonable control of Notaries 24-7.

(c) Notaries 24-7 is not responsible for delays, interruptions, or failures caused by third parties, including lenders, title companies, escrow companies, signing parties, shipping carriers, technology providers, internet service providers, governmental agencies, or events constituting force majeure.

(d) The Notary is solely responsible for maintaining adequate insurance coverage, including errors and omissions insurance and any other insurance required by applicable law or appropriate for the Notary’s independent business.

(e) The Notary assumes all ordinary business risks associated with operating an independent contractor business, including travel expenses, printing expenses, equipment costs, technology failures, fuel costs, vehicle expenses, and similar business expenses, except as otherwise expressly agreed in writing by Notaries 24-7.

(f) Nothing in this Section shall limit the Notary’s obligation to comply with applicable law or the indemnification obligations contained in this Agreement.

The provisions of this Section shall survive the termination or expiration of this Agreement.

12. Dispute Resolution and Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

The Parties agree to make a good faith effort to resolve any dispute, claim, or controversy arising out of or relating to this Agreement through informal discussions before initiating formal legal proceedings.

If the Parties are unable to resolve the dispute through informal discussions, either Party may pursue any remedy available at law or in equity in a court of competent jurisdiction, unless a different dispute resolution process is required by applicable law.

The Parties agree that any legal action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in San Bernardino County, California, to the extent permitted by applicable law. Each Party irrevocably consents to the personal jurisdiction and venue of such courts and waives any objection based on improper venue or forum non conveniens.

Nothing in this Agreement shall prevent Notaries 24-7 from seeking temporary restraining orders, preliminary injunctions, permanent injunctions, or other equitable relief in any court of competent jurisdiction to protect its Confidential Information, Intellectual Property, trade secrets, customer relationships, or other proprietary rights.

If any provision of this Agreement relating to dispute resolution, venue, or governing law is determined to be unenforceable under applicable law, the remaining provisions of this Agreement shall remain in full force and effect, and the unenforceable provision shall be modified or interpreted only to the minimum extent necessary to make it enforceable.

The prevailing Party in any legal action or proceeding arising out of or relating to this Agreement shall be entitled to recover its reasonable attorneys’ fees, court costs, and other litigation expenses, to the extent permitted by applicable law.

The provisions of this Section shall survive the termination or expiration of this Agreement.

13. General Provisions

13.1 Entire Agreement

This Agreement constitutes the entire agreement between the Parties regarding the subject matter contained herein and supersedes all prior or contemporaneous oral or written agreements, understandings, representations, negotiations, and communications relating to the Services or the relationship between the Parties.

13.2 Amendments

Notaries 24-7 may revise or amend this Agreement from time to time. The most current version will be made available through the Platform or by other reasonable means. The Notary’s continued acceptance of assignments or continued use of the Platform following the effective date of any revision constitutes acceptance of the revised Agreement.

13.3 Assignment

The Notary may not assign, delegate, transfer, subcontract, or otherwise convey any rights or obligations under this Agreement without the prior written consent of Notaries 24-7.

This Section governs assignment, delegation, or transfer of the Notary’s contractual rights and obligations under this Agreement as a whole and does not limit the Notary’s right to engage a substitute to perform an individual assignment in accordance with Section 6.3(c).

Notaries 24-7 may assign or transfer this Agreement, in whole or in part, without the Notary’s consent in connection with a merger, acquisition, sale of assets, corporate restructuring, or other lawful business transaction.

13.4 Severability

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of this Agreement shall remain in full force and effect.

13.5 Waiver

No waiver of any provision of this Agreement shall be effective unless made in writing by the Party against whom the waiver is asserted. The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of that provision or of the right to enforce it at a later time.

13.6 Notices

Any notice required or permitted under this Agreement shall be provided in writing and may be delivered by email, through the Platform, by nationally recognized overnight courier, or by certified U.S. Mail to the most recent contact information maintained by the Parties. Notices shall be deemed received upon confirmed delivery, electronic confirmation, or the date delivery is refused.

The Notary is responsible for maintaining current contact information within the Platform and promptly updating any changes.

13.7 Electronic Signatures

The Parties agree that this Agreement may be executed electronically and that electronic signatures, electronic records, and electronic acceptance through the Platform shall have the same force and effect as original handwritten signatures to the fullest extent permitted by applicable law, including the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and other applicable law.

13.8 No Third-Party Beneficiaries

Except as expressly provided in this Agreement, nothing contained herein is intended to confer any rights or remedies upon any person or entity other than the Parties.

13.9 Headings

Section headings are included solely for convenience and shall not affect the interpretation of this Agreement.

13.10 Interpretation

This Agreement shall be interpreted fairly and according to its plain meaning and shall not be construed against either Party based upon authorship or drafting.

13.11 Counterparts

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all counterparts together shall constitute one and the same Agreement.

13.12 Survival

Any provision of this Agreement that by its nature is intended to survive termination or expiration, including but not limited to provisions relating to compensation, confidentiality, intellectual property, indemnification, limitation of liability, dispute resolution, payment obligations, and any accrued rights or obligations, shall survive the termination or expiration of this Agreement.

13.13 Acknowledgment

BY ACCEPTING AN ASSIGNMENT, EXECUTING THIS AGREEMENT, OR OTHERWISE ACCESSING OR USING THE PLATFORM, THE NOTARY ACKNOWLEDGES THAT THE NOTARY HAS CAREFULLY READ THIS AGREEMENT, UNDERSTANDS ITS TERMS, HAS HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL OR PROFESSIONAL ADVICE IF DESIRED, AND VOLUNTARILY AGREES TO BE LEGALLY BOUND BY ITS TERMS.
